Acceptable Use Policy

Effective Date: February 26, 2026

This Acceptable Use Policy (“AUP”) governs your use of the ReferWise platform (the “Platform”) and supplements the ReferWise Terms of Service. Capitalized terms not defined herein have the meanings assigned in the Terms of Service. Violation of this AUP may result in suspension or termination of your account.

1. General Principles

The Platform is designed to facilitate compliant lawyer-to-lawyer referrals and collaborative outsourcing. All use must be consistent with this purpose and with the professional obligations of licensed attorneys. You are expected to use the Platform honestly, ethically, and in good faith.

2. Professional Conduct Requirements

As a licensed attorney using the Platform, you must:

  • Maintain active, good-standing bar membership in all jurisdictions listed on your profile
  • Promptly update your profile if your bar status changes (suspension, voluntary inactive, transfer, etc.)
  • Accurately represent your practice areas, experience, and qualifications
  • Conduct independent conflict checks before accepting any referral or engagement
  • Obtain all required client consents before initiating referral transactions
  • Comply with all applicable rules of professional conduct in every jurisdiction where you practice
  • Maintain attorney-client privilege and confidentiality in all Platform communications
  • Ensure all fee-sharing arrangements comply with Model Rule 1.5(e) or applicable state equivalents

3. Prohibited Uses

3.1 Professional Misconduct

You may not use the Platform to:

  • Practice law in any jurisdiction where you are not admitted or authorized
  • Accept referrals in practice areas in which you are not competent (Model Rule 1.1)
  • Engage in fee-sharing arrangements that violate Model Rule 1.5(e) or applicable state rules
  • Solicit clients in violation of Model Rule 7.3 or applicable state advertising and solicitation rules
  • Make false or misleading communications about your qualifications or services (Model Rule 7.1)
  • Create conflicts of interest or fail to disclose known conflicts (Model Rules 1.7–1.10)

3.2 Platform Integrity

You may not:

  • Create multiple accounts or false identities
  • Misrepresent your bar status, practice areas, experience, or credentials
  • Circumvent the Platform's payment systems to avoid Infrastructure Fees
  • Manipulate the matching or classification engines through false or misleading information
  • Post fraudulent, fictitious, or misleading referral opportunities
  • Use the Platform solely to recruit or hire attorneys rather than for genuine referral purposes
  • Engage in any form of kickback, under-the-table payment, or undisclosed compensation related to referrals

3.3 Technical Restrictions

You may not:

  • Use automated scripts, bots, or scrapers to access the Platform except through authorized APIs
  • Attempt to gain unauthorized access to other users' accounts, data, or Platform systems
  • Probe, scan, or test the vulnerability of Platform systems without written authorization
  • Interfere with or disrupt Platform infrastructure, servers, or networks
  • Reverse-engineer, decompile, or disassemble any portion of the Platform
  • Use the Platform to distribute malware, viruses, or other harmful code
  • Exceed API rate limits or abuse Platform resources in a manner that degrades service for others

3.4 Content Restrictions

You may not upload, transmit, or share content that:

  • Is false, defamatory, libelous, or fraudulent
  • Infringes on any third party's intellectual property rights
  • Contains sensitive personal information (Social Security numbers, financial account numbers) except as required for legitimate referral transactions
  • Violates attorney-client privilege or court-ordered confidentiality
  • Constitutes spam, unsolicited marketing, or bulk messaging
  • Is discriminatory, harassing, or threatening

4. Data Handling Obligations

When using the Platform, you are responsible for ensuring that any client data shared is shared only as necessary and with appropriate authorization; not downloading or exporting other users' personal data except as needed for legitimate referral transactions; promptly reporting any suspected data breaches; complying with all applicable data protection laws; and securely disposing of Platform-obtained data when no longer needed.

5. API and Integration Use

If you access the Platform through APIs, webhooks, or integrations, you must use API keys only for their authorized purpose; not share credentials with unauthorized parties; implement reasonable security measures; comply with all rate limits; not use APIs to build competing services or extract data for unauthorized purposes; and report security vulnerabilities to security@referwise.ai.

6. Reporting Violations

If you become aware of any violation of this AUP, please report it to compliance@referwise.ai. Reports may be made anonymously. ReferWise will investigate reported violations and take appropriate action. We will not retaliate against users who report violations in good faith.

7. Enforcement

ReferWise reserves the right to investigate suspected violations. Violations may result in: a written warning; temporary suspension; permanent termination; removal of content; withholding of pending payments; and/or reporting to applicable bar authorities in cases of serious professional misconduct.

If your account is suspended or terminated for an AUP violation, you may appeal by contacting compliance@referwise.ai within 30 days. Appeals will be reviewed within 15 business days.

8. Modifications

ReferWise may update this AUP from time to time. Material changes will be communicated via email and posted on the Platform at least 30 days before taking effect.
